Excluded Services
What falls outside a Statement of Work unless it is expressly included.

This page is referenced by Triada Networks Statements of Work (“SOW”). The version published on the Effective Date of your SOW applies to that SOW. It should be read together with the Master Services Agreement and the Services Guide.
Services rendered under a SOW do not include the following. Where Triada agrees to perform any of them, they are provided on a time-and-materials basis at Triada’s then-current hourly rates, or under a separate written proposal.
Excluded from every Statement of Work
- Any service not specifically identified as included in the Scope of Work or Exhibit A (SOW Schedule) of the SOW.
- Parts, equipment, or software not covered by vendor or manufacturer warranty or support.
- The cost of any software, licensing, or software renewal or upgrade fees.
- The cost of any third-party vendor or manufacturer support or incident fees.
- The cost to bring Customer’s environment up to the minimum standards described in Suitability of Environment.
- Maintenance of application software packages, whether acquired from Triada or any other source, unless specified in the Scope of Work.
- Any response to or remediation of an identified security incident, including ransomware, business email compromise, and data exfiltration. Incident response is engaged separately and, where applicable, through Customer’s cyber-insurance carrier.
Also out of scope unless the SOW lists them
- Support outside the Support Hours stated in the SOW. After-hours support, when available, is billed at the increased rates described in the Services Guide.
- Onsite visits, where the SOW does not include onsite support, or visits to locations other than the office named in the SOW.
- Project work, including office moves, new-office build-outs, network design and cabling, server or cloud migrations, and application rollouts.
- Remediation of issues caused by changes to the environment that Triada did not authorize, by Customer’s failure to follow Triada’s written advice, or by the acts or omissions of Customer’s other vendors in a co-managed environment.
- Support for hardware, software, or services that are end-of-life, end-of-sale, unlicensed, or otherwise not vendor-supported (“Legacy Devices” under the Master Services Agreement).
- Recovery of data from backups that Triada does not manage, or restoration beyond the point of the last successful managed backup.
- Monitoring, management, configuration, governance, or auditing of artificial-intelligence tools, unless listed as an included Service in the SOW.
- Custom software development, database administration, and line-of-business application support beyond the vendor-facilitation described in the Services Guide.
- End-user training beyond the security-awareness training included in the SOW.
- Regulatory filings, audit responses, and due-diligence questionnaires, except as included in the Virtual CIO/CISO service described in the SOW.
